Yes, I did review the Drupal forums and mailing lists first, and I did a Google search also ... but I am still confused ... so pleas pardon my ignorance.
I am looking for a new CMS system. I am using Drupal 5.x at home for other purposes, but for work, I have a few questions.
Imagine I have 20+ web-sites, and I have 1 million+ pieces of content, I want to be able to share all content across all the sites. We are going to be using Resin (with Quercus for PHP) as the web/app server, and MySQL 5.x for the database. We will be backing up all this database data from one database, that's not an issue.
So, if you can tell me that this is ok, and can be done, that's great. If you just want to point me to some documentation that discusses this, and the pros/cons, that's fine also.

For multi-sites ..... do I definitely need table prefixes? or can I share all my content with all web-sites?
I definitely need an answer to this if someone could provide it .....

That is a design decision only you can make. You can share as much or as little as you like. See the settings.php file for possibilities. You may have common and uncommon data for each site. But you would have to tell Drupal what is and isn't shared.
